Zeepay Ghana Faces Winding-Up Threat as High Court Freezes Management and Assets

Zeepay Ghana Limited is facing a major legal challenge after the High Court’s Commercial Division in Accra imposed restrictions on the company’s management and assets pending the determination of a petition seeking its official winding-up.

Justice John-Mark Nuku Alifo issued the order on Wednesday, August 19, 2026, following an application by the Registrar of Companies under the Corporate Insolvency and Restructuring Act, 2020 (Act 1015).

The court directed Zeepay Ghana Limited, its directors, shareholders, agents, officers, management and employees not to interfere with or deal with the company’s management and assets.

The restrictions cover the company’s electronic platforms, bank accounts and funds held on its behalf.

The development follows a winding-up petition filed by the Registrar of Companies on August 5, 2026.

According to the court’s ruling, the petition and a subsequent application for an interlocutory injunction were served on Zeepay’s Managing Director, Andrew Takyi Appiah, on August 13.

The court noted that although Zeepay had the right to oppose the application by filing an affidavit, the company did not do so.

Court cites concerns over creditors

In granting the application, Justice Nuku Alifo said the evidence before the court established a prima facie case for protecting the interests of Zeepay’s creditors, depositors and other persons with lawful claims against the company.

The court expressed concern that refusing the injunction could expose creditors and members of the public to irreparable damage if Zeepay’s assets were dissipated before the winding-up petition is determined.

Justice Nuku Alifo further held that the Registrar’s case was neither frivolous nor vexatious and that there were serious issues to be determined in the substantive winding-up proceedings.

Registrar ordered to take possession of Zeepay assets

As part of the restrictions, the Registrar of Companies has been directed to take possession of all assets belonging to Zeepay Ghana Limited.

These include landed properties, movable assets, electronic devices and digital equipment.

The assets are to be inventoried under the supervision of the Registrar of the High Court, with the completed inventory to be filed at the court registry within 72 hours of the order being signed.

The court, however, clarified that the order does not affect Zeepay assets that have already been lawfully attached in execution of a judgment by a court of competent jurisdiction, where the execution process is ongoing or has been completed.

Police ordered to assist with enforcement

The Greater Accra Regional Commander of the Ghana Police Service has also been directed to deploy sufficient personnel to assist in the peaceful execution of the court’s orders.

The police are expected to help protect lives and property and prevent any breach of the peace during the enforcement of the order.

The case is being heard under Suit No. GJ-CM/MISC/0688/2026, involving the Registrar of Companies as petitioner/applicant and Zeepay Ghana Limited as respondent.

The court’s latest order does not amount to a final winding-up of Zeepay Ghana Limited. The substantive petition filed by the Registrar of Companies remains pending, and the company’s ultimate fate will be determined by the court after hearing the winding-up case.

The restrictions, however, place Zeepay Ghana under significant legal and operational pressure as the court moves to safeguard the interests of creditors, depositors and other parties with legitimate claims against the company.
